12.Neither Party may use the name or logo of the other,or any abbreviation or adaptation thereof,in any advertising,trade display,or published statement or press release,or for any other commercial purpose,without prior written consent.
13.Non-Solicitation of Employees.During the pendency of discussions concerning the Possible Business Arrangement between the Parties,and for a period of one (1) year following termination of such discussions,(a) neither Party will solicit the employment of any employee of the other Party that has been involved in the discussions,and (b) if a Party is approached concerning employment by an employee of the other Party that has been involved in the discussions,that Party will notify (or cause the employee to notify) the other Party before making an offer of employment.
